"Although we have not made any public announcements for several months while working diligently with outside counsel and our independent accountants in an effort to make UDS a fully reporting company, I felt it was important to let everyone know that we are still competing to secure the same kinds of contracts as we always have been," explains Ryan Coblin, CEO of Universal Delivery Solutions. "Our sales cycle often begins with a customer setting-up a beta site. In our history, we have never worked on a site that did not result in a delivery contract." As UDS looks forward to its success at this trial site and expands service to its existing customer base the company has also been working with an SEC attorney since last April to assist it in becoming a fully reporting company.
Coblin stated, "Simply put, while working on our financials to become a reporting company it came to our attention that UDS Group, Inc., the public trading shell we purchased to facilitate our effort to go public, does not have all of the books and records we need to complete an audit for the years prior to the date we completed our purchase.
We have been working with both our independent and internal accountants to explore every option available to address this issue including, as an alternate transaction, the separate registration and spin-off to UDS shareholders of our operating subsidiary, Universal Delivery Solutions, Inc. We are still addressing the legal and accounting issues, which are relatively complicated, and through these efforts we will continue to work to become a reporting company under the Securities Exchange Act of 1934.
On the operations side we have worked to identify and close sales contracts that will protect the value of investments our shareholders have made in this company. In short, we are working daily to strengthen UDS and are excited about the opportunities that lie ahead." UDS has redesigned its website and put a communications firm in place to better communicate its activities to shareholders. Coblin says, "As we correct the transaction that has caused us some difficulty, I want to reopen the lines of communication and provide as much information as possible."
